Platform and Content Use Agreement

This Platform and Content Use Agreement ("Agreement") is made between MAX METANERGY LIMITED ("Organizer") and the participant ("Participant") who registers for access to the Organizer’s online platform or system ("Platform") to continue learning and use the resources provided by the Organizer. By registering for access to the Platform, I agree to the terms outlined in this Agreement.

Definitions

Platform: "Platform" refers to any online platform, software, website, application, or system owned or offered by the Organizer that provides access to course content, educational materials, or other learning resources.

Content: "Content" refers to all materials available on the Platform, including but not limited to videos, lectures, quizzes, course materials, digital documents, and any other educational resources provided by the Organizer.

1. Use of Platform and Content

  • I acknowledge that by registering for the Platform, I am granted access to Content provided by the Organizer for my personal learning, skill development, and educational purposes.
  • I agree to use the Platform and all Content responsibly and in accordance with all guidelines, policies, and applicable laws set by the Organizer.
  • I understand that access to the Platform and Content is for my personal use only. I will not share, distribute, or allow others to access the Platform or Content using my credentials.

2. Commitment to Responsible Use

  • I agree to use the Platform for its intended educational purposes and not for any unauthorized or unlawful activities.
  • I commit to maintaining the confidentiality of my login information and will not share my access credentials with any third party.
  • I acknowledge that any violation of these terms will result in suspension or termination of my access to the Platform and Content without any refund or compensation.

3. Intellectual Property and Confidentiality

  • I understand that all Content, including but not limited to videos, course materials, documents, and any other resources, is the intellectual property of the Organizer, protected by copyright and intellectual property laws.
  • I agree not to copy, modify, reproduce, distribute, or create derivative works from any Content without the Organizer’s prior written consent.
  • I acknowledge that any unauthorized use, disclosure, copying, recording, modification, creation of derivative works, or sharing of the Content or Platform access will result in my legal liability. If I violate the above terms, I will be subject to legal action, including but not limited to litigation, and will be required to compensate for all losses caused by my actions.

4. Data Protection and Privacy

  • I have read and agree to the Personal Data Notice provided by the Organizer, which outlines how my personal data will be collected, used, and protected in connection with my access to the Platform.
  • I consent to the Organizer using my personal data for the purposes of managing my access to the Platform, delivering Content, and communicating with me regarding my learning and participation.

5. Conduct and Behaviour

  • I agree to maintain respectful and professional conduct while using the Platform. Any disruptive, inappropriate, or offensive behaviour may result in immediate suspension or termination of my access to the Platform without any refund or compensation.
  • I agree not to engage in any behaviour that could harm the reputation or operation of the Organizer or other participants.

6. Health and Safety

  • I acknowledge that I am responsible for ensuring that my environment is safe and suitable for using the Platform and accessing Content. The Organizer is not liable for any injuries or health issues that may arise during my use of the Platform.

7. Use of Online Platforms

  • I acknowledge that access to the Platform or Content may be provided through third-party video conferencing, webcast, webinar, or e-learning platforms ("Online Platforms"). I understand that the Organizer is not responsible for the functionality or management of these third-party platforms.
  • I agree not to hold the Organizer liable for any privacy breaches, security vulnerabilities, or other issues related to the use of these Online Platforms.

8. Modification of Terms

  • The Organizer reserves the right to modify the terms and conditions of this Agreement at any time. Participants will be notified of any changes, and continued use of the Platform after such notification will constitute acceptance of the new terms.

9. Governing Law

  • This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Organizer is headquartered. Any disputes arising from or relating to this Agreement shall be resolved under the exclusive jurisdiction of the courts in that jurisdiction.
  • However, for matters specifically related to the use of the System, including data protection and privacy obligations, this Agreement shall be governed by the laws of the jurisdiction where the System is hosted. Any disputes arising under or in connection with such matters shall be subject to the exclusive jurisdiction of the courts in the relevant jurisdiction as specified herein.

10. Consent

  • By registering for access to the Platform, I consent to the terms outlined in this Agreement.

11. Discrepancy Clause

  • n the event of any discrepancy between the English and Chinese versions of this Agreement, the English version shall prevail.

12. Agreement to Terms

  • I confirm that I have read, understood, and agree to the terms outlined in this Agreement.
